SGPS/ShowRig Acquires Niscon Inc.

SGPS/ShowRig, Inc. has acquired Niscon Inc., the Ontario, Canada-based motion control systems and automation company.

The acquisition is notable for combining SGPS/ShowRig's extensive capabilities with Niscon's Raynok software and advanced control systems. Niscon will operate as a division of SGPS/ShowRig from its headquarters in Ontario.

In a statement, the companies say, "The addition of Niscon to the SGPS/ShowRig portfolio will create a unified approach and comprehensive solution to automation, motion control, and stage rigging. The combined entity will deliver unparalleled efficiency, creativity, and safety for concert tours, film and television productions, festivals, permanent installations, and similar applications, and will continue to deliver the innovative solutions that were a core principle of SGPS/ShowRig's creative (late) founder Eric W. Pearce."

"This is a natural evolution of the long-standing partnership between SGPS/ShowRig and Niscon," says SGPS/ShowRig president Ned Collett. "For years, our touring clients, including some of the biggest names in the industry, have relied on Niscon's Raynok software to execute jaw-dropping automation. Niscon's reputation for reliability and technical excellence aligns perfectly with SGPS/ShowRig's legacy of engineering excellence. By bringing this technology in-house, we can offer our clients a truly integrated and powerful solution that will push the boundaries of what's possible. We are excited to welcome the talented Niscon team to the SGPS/ShowRig family."

Denis Lefrancois, owner of Niscon, will guide the integration. Joseph Jeremy, Niscon's co-founder/CEO will remain an integral part of the leadership team. Peter Sinkner, Niscon's co-founder and the principal architect of the Raynok software, will continue in a consultancy role.

"This is an exciting new chapter for Niscon," Lefrancois says. "We will continue to be a proudly Canadian company, providing the same high-quality products, service, and support our current partners enjoy, and our future partners will come to appreciate. Joining forces with SGPS/ShowRig allows us to scale our technology and reach new markets by leveraging their extensive network and resources. The combined expertise of our teams will undoubtedly lead to advancements in our industry."

SGPS/ShowRig retained ButcherJoseph & Co. as its exclusive financial advisor on the transaction. ButcherJoseph & Co. is a boutique investment banking firm that specializes in advising privately held businesses on M&A advisory, employee ownership transactions (ESOPs), capital advisory, and valuations and fairness opinions. The company is headquartered in St. Louis with a presence in Austin, Charlotte, Chicago, Miami, Scottsdale, and Washington, DC.
